เงินปันผลค้างจ่าย หมายถึง เงินที่ค้างจ่ายจากการแบ่งส่วนแบ่งที่ได้จากกำไร จากการค้าขายในรูปแบบ บริษัท จำกัด เพราะเป็นการจ่ายจากกำไรสะสมตามมติของคณะกรรมการบริหารของบริษัท ณ วันที่ประกาศจ่ายเงินปันผลย่อมถือว่าบริษัทมีภาระผูกพันกับผู้ถือหุ้นที่ได้ประกาศไว้ ซึ้งถือว่าผู้ถือหุ้นมีสถานะเป็นเจ้าหนี้ของกิจการ
