สำรองตามกฎหมาย หมายถึง บัญชีที่ต้องมีไว้ เมื่อเกิจการจะมีการจ่ายเงินปันผลให้ผู้ถือหุ้นจะต้องมีบัญชีสำรองตามกฎหมายเสมอ ทุกคราวที่แจกเงินปันผล บริษัทต้องจัดสรรเงินไว้เป็นทุนสำรองอย่างน้อยหนึ่งในยี่สิบส่วนของจำนวนผลกำไรซึ่งบริษัททำมาหาได้จากกิจการของบริษัท ตามมาตรา 1202 ประมวลกฎหมายแพ่งและพาณิชย์
